Terms & Conditions

These Terms & Conditions (the "Terms") govern your access to and use of the Fraw application, website, software, and related services (collectively, the "Service"), operated by Untitled Labs Limited ("Fraw," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least the age of majority in your jurisdiction, or otherwise have valid parental or legal guardian consent, to use the Service.

By using the Service, you represent and warrant that:

• you have the legal capacity to enter into these Terms;
• the information you provide is accurate, complete, and current; and
• your use of the Service complies with applicable laws and regulations.

We may restrict, suspend, or terminate access if we reasonably believe you are not eligible to use the Service.

2. Account Registration and Security

To access certain features, you may be required to create an account.

You agree to:

• provide accurate and current registration information;
• keep your login credentials secure and confidential;
• accept responsibility for activity occurring under your account; and
• notify us promptly of any unauthorized use of your account or security breach.

You may not transfer, sell, or share your account except as expressly permitted by us.

We may refuse registration, reclaim usernames, suspend accounts, or terminate accounts where reasonably necessary to protect the Service, prevent abuse, enforce these Terms, or comply with law.

3. Nature of the Service

Fraw is a subscription-tiered, credit-based AI creative platform.

The Service may include:

• official Fraw-provided functions and tools;
• official extensions and feature experiences;
• AI generation and transformation functions;
• private user-created extensions;
• published user-created extensions;
• subscription plans and top-up purchases;
• referral and promotional programs; and
• creator-related tools and reward systems.

The Service operates through two connected systems:

• a subscription tier system, which determines access rights, feature permissions, and eligibility for certain functions; and
• a credit usage system, which determines usage quantity.

Subscription tier determines access. Credits determine usage quantity.

We may modify, add, suspend, or discontinue any part of the Service at any time, subject to applicable law.

4. Subscription Tiers and Access

Access to features, functions, permissions, and eligibility within the Service is determined by the user's active subscription tier or account status designated by Fraw.

Fraw may offer Free, Basic, Premium, monthly, yearly, or other plans from time to time. Plan features, credit allocations, billing periods, and commercial terms may be displayed in the Service, purchase flow, pricing pages, or related policies and may be updated by Fraw from time to time in accordance with applicable law.

Credits do not by themselves determine subscription tier and do not automatically grant access to higher-tier features.

If you have an active subscription, your tier remains tied to that subscription during the applicable billing period unless adjusted due to cancellation, expiration, refund, chargeback, fraud review, suspension, or policy enforcement.

5. Credits

Fraw uses a virtual credit system for certain usage within the Service.

Credits may be issued through subscriptions, top-up purchases, account signup, referrals, promotions, campaigns, or other distributions authorized by Fraw.

Fraw may distinguish between categories of credits, including paid credits and promotional or free credits. Different categories of credits may be subject to different rules relating to access, expiry, usability, exclusions, and reward eligibility.

Except where required by law:

• credits are licensed, not sold;
• credits are non-transferable;
• credits are non-refundable;
• credits are not redeemable for cash; and
• credits do not constitute stored value, e-money, bank deposits, or personal property rights.

We may adjust, reverse, remove, or expire credits in cases of fraud, abuse, chargeback, technical error, policy violation, or other legitimate platform-protection reasons.

6. Credit Expiry and Top-Up

Credits may expire or reset according to the plan, promotion, purchase type, or policy under which they were issued.

Subscription-included credits may expire or reset at the end of the relevant billing cycle. Promotional or Free Credits may expire according to the applicable promotion or plan rules. Top-up credits may expire according to the rules designated by Fraw and displayed in the Service or related materials.

Top-up credits increase usage quantity only. They do not:

• change subscription tier;
• upgrade access rights;
• unlock higher-tier functions;
• grant creator publishing rights; or
• grant creator monetization eligibility.

Feature access while using top-up credits continues to follow the user's then-current tier.

7. Official Functions and User-Created Extensions

The Service may include both official Fraw-provided functions and user-created extensions.

Official functions may include official extensions, rebuild / blend features, and other official Fraw experiences. Access to official functions is governed by user tier and Service rules.

Certain users may be permitted to create private extensions for personal or internal use. Certain eligible users may be permitted to publish extensions for wider access within the Service.

Not all users may create, publish, monetize, or access all types of extensions. These permissions are governed by Fraw's tier rules, creator rules, and related policies.

Official functions do not generate creator reward eligibility unless Fraw expressly states otherwise.

8. Creator Features and Published Extensions

Fraw may permit certain eligible users to publish extensions and participate in creator-related features.

Creator eligibility, publication rights, visibility, moderation, monetization, and access to creator tools are determined by Fraw and may depend on factors such as:

• subscription tier;
• account standing;
• time on plan;
• verification status;
• moderation review;
• fraud review; and
• compliance with these Terms and applicable policies.

Creator participation does not guarantee publication, visibility, distribution, user traffic, monetization, or rewards.

We may approve, reject, limit, remove, suspend, or terminate creator access or published extensions where reasonably necessary for safety, quality, policy enforcement, fraud prevention, or legal compliance.

9. Diamonds and Creator Rewards

Fraw may operate a creator reward system, including an internal reward unit referred to as "Diamonds" or similar reward units.

Diamonds, if offered, are part of Fraw's internal creator reward system. They are not a general user currency and do not constitute stored value, personal property, e-money, or a guaranteed right to cash payment.

Only users designated by Fraw may be eligible to earn Diamonds or other creator rewards, subject to Fraw's creator eligibility rules, reward rules, and anti-abuse controls.

Fraw may determine and revise from time to time, to the extent permitted by law:

• how creator rewards are earned;
• what activity is eligible or ineligible;
• any exclusions for official functions, promotional activity, self-usage, or other non-qualifying activity;
• conversion methodology, if any;
• withdrawal thresholds;
• settlement timing;
• verification requirements;
• withholding, reversal, forfeiture, or suspension rules.

Any creator reward rights remain subject to these Terms, related policies, continued eligibility, and account compliance.

10. Referral and Promotional Programs

Fraw may offer referral, member-get-member, invite, promotional, or campaign programs from time to time.

The structure, eligibility conditions, rewards, exclusions, expiration rules, and anti-abuse controls for such programs may be displayed in the Service or related policies and may be updated from time to time.

Referral or promotional rewards may be issued as Free Credits or other promotional benefits designated by Fraw.

Unless expressly stated otherwise by Fraw, promotional rewards do not create creator payout rights.

You must not manipulate referral or promotional programs through self-referrals, fake accounts, automated activity, collusion, payment manipulation, or other abusive conduct. We may reverse rewards, remove credits, suspend accounts, or terminate participation for suspected abuse.

11. Billing, Renewals, and Refunds

Paid plans and purchases may be billed through app stores, web checkout, payment processors, or other authorized channels.

Subscriptions may renew automatically unless canceled before the applicable renewal date through the relevant billing platform.

Where billing is processed by an app store or third party, the terms of that provider may also apply.

Except where required by law or applicable payment platform rules, payments for subscriptions, top-ups, credits, or related purchases are non-refundable.

We may change plan prices, included features, access rights, usage allocations, and other commercial terms prospectively, subject to applicable law.

12. User Content and Inputs

You may submit prompts, text, images, files, instructions, and other materials to the Service ("User Content").

You retain ownership of User Content you lawfully own, but you grant Fraw a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, process, transmit, display, and use User Content as reasonably necessary to provide, operate, improve, secure, and maintain the Service.

You represent and warrant that:

• you own or control the necessary rights in your User Content;
• your User Content does not violate law or third-party rights; and
• your User Content does not breach these Terms.

You are solely responsible for your User Content.

13. AI Output

The Service may generate images, text, transformations, or other output based on your inputs ("Output").

You acknowledge that:

• Output is generated by automated systems;
• Output may be inaccurate, incomplete, offensive, unavailable, or non-unique;
• similar or identical output may be generated for other users; and
• Fraw does not guarantee the accuracy, legality, uniqueness, or suitability of Output for any purpose.

You are solely responsible for reviewing and evaluating Output before using, relying on, sharing, publishing, or commercializing it.

14. Acceptable Use

You agree not to:

• violate any law or regulation;
• infringe intellectual property, privacy, publicity, or other rights;
• submit unlawful, harmful, deceptive, abusive, or infringing content;
• exploit the Service for fraud, spam, scams, or manipulation;
• reverse engineer, interfere with, disrupt, or compromise the Service;
• manipulate credits, rewards, Diamonds, referral systems, or creator systems without authorization;
• impersonate another person or entity; or
• attempt to bypass access restrictions, tier rules, or anti-abuse controls.

We may investigate suspected violations and take action including suspension, termination, reward reversal, content removal, or legal reporting.

15. Moderation, Review, and Enforcement

We may, but are not obligated to, review:

• User Content;
• prompts;
• extensions;
• published extensions;
• credits;
• Diamonds;
• referral activity;
• creator activity; and
• usage patterns.

We may remove, restrict, deny, suspend, reverse, demote, or terminate content, credits, Diamonds, rewards, extensions, accounts, or access where reasonably necessary for fraud prevention, policy enforcement, safety, quality control, legal compliance, or platform integrity.

16. Intellectual Property

The Service, including its software, systems, interfaces, design, branding, graphics, logos, and underlying technology, is owned by Fraw or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use the Service in accordance with these Terms, no right, title, or interest is transferred to you.

You may not copy, modify, distribute, lease, license, sell, reverse engineer, or create derivative works from the Service except as expressly permitted by law or by us in writing.

17. Third-Party Services

The Service may rely on or integrate with third-party services, including app stores, payment processors, hosting services, analytics providers, identity providers, and AI model providers.

We are not responsible for third-party services or their availability, billing practices, security, content, or performance.

18. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and disclose personal information.

By using the Service, you acknowledge that your information may be processed in accordance with the Privacy Policy.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available."

Fraw disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• the Service will be uninterrupted, secure, or error-free;
• any feature, credit, Diamond, reward, extension, or creator program will remain continuously available; or
• any Output will be accurate, lawful, unique, or suitable for your needs.

20. Limitation of Liability

To the fullest extent permitted by law, Fraw and its affiliates, officers, directors, employees, contractors, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including damages for loss of profits, revenue, goodwill, data, business opportunity, credits, Diamonds, or creator rewards, arising out of or relating to the Service or these Terms.

To the fullest extent permitted by law, Fraw's total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of:

• the amount you paid to Fraw in the twelve (12) months before the event giving rise to the claim; or
• the minimum amount required by applicable law, if any.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Fraw and its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the Service;
• your User Content;
• your extensions;
• your violation of these Terms;
• your infringement of third-party rights; or
• your fraud, abuse, or unlawful conduct.

22. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, with or without notice, where reasonably necessary if:

• you violate these Terms or our policies;
• we suspect fraud, abuse, self-dealing, or unlawful conduct;
• required by law or court order; or
• your use poses risk to the Service, users, creators, or partners.

Upon termination:

• your right to use the Service ends immediately; and
• credits, Diamonds, rewards, creator privileges, and extension visibility may be removed, forfeited, reversed, or limited to the extent permitted by law and policy.

Provisions that should survive by their nature will survive termination.

23. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Service, by email, or by another reasonable method.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms.

24. Governing Law

These Terms are governed by the laws of the Hong Kong SAR, without regard to conflict-of-law rules.

25. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved in the courts located in Hong Kong, unless applicable law requires otherwise.

If you want arbitration, class-action waiver, or jurisdiction-specific consumer provisions, those should be addressed in a jurisdiction-specific version.

26. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

27. Entire Agreement

These Terms, together with the Privacy Policy and any additional creator, referral, rewards, payout, or policy documents expressly incorporated by reference, constitute the entire agreement between you and Fraw regarding the Service.
